Please read these Terms of Service (“Terms”) carefully before using the https://eightdigitmedia.com website (the “Service”), operated by CKR Ventures LLC dba Eight Digit Media (“EDM,” “us,” “we,” or“our”). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have permission to access the Service.
Scope: website use only
These Terms apply to visitors and users of our website. They do not govern our paid marketing services. If you purchase a marketing plan or engagement from Eight Digit Media, that relationship is governed exclusively by the separate, signed Service Agreement you enter into with us (including its scope, fees, commitment, billing, and refund terms). In the event of any conflict between these Terms and your signed Service Agreement, the signed Service Agreement controls with respect to your engagement.
1. Purchases
If you wish to purchase any product or service made available through the Service (a “Purchase”), you may be asked to supply information relevant to your Purchase, including your payment card number, expiration date, and billing address. You represent and warrant that (i) you have the legal right to use any payment method used in connection with a Purchase, and (ii) the information you supply is true, correct, and complete. We may use third-party services to facilitate payment; by submitting your information you grant us the right to provide it to those third parties subject to our Privacy Policy. We reserve the right to refuse or cancel an order at anytime for reasons including availability, errors in description or price, or suspected fraud or unauthorized or illegal transactions.
2. Availability, Errors, and Inaccuracies
We are constantly updating our offerings on the Service and may experience delays in updating information here and in our advertising elsewhere. Information on the Service may contain errors or inaccuracies and may not be complete or current. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at anytime without prior notice.
3. Promotions
Any contests, sweepstakes, or promotions made available through the Service may be governed by separate rules. If you participate, review the applicable rules and our Privacy Policy. If the promotion rules conflict with these Terms, the promotion rules apply to that promotion.
4. Website Subscriptions
Some website features may be offered on a subscription basis and billed in advance on a recurring basis, renewing automatically unless cancelled through your account page or by contacting us. Avalid payment method is required, and by providing it you authorize th eapplicable recurring charges. This Section applies only to self-service website subscriptions. It does not apply to a signed marketing Service Agreement, whose billing, term, commitment, cancellation, and no-refund provisions are governed solely by that Agreement and are not month-to-month or cancel-anytime unless that Agreement says so.
5. Refunds
Except where required by law, paid website subscription fees are non-refundable. Refunds for paid marketing engagements are governed exclusively by your signed Service Agreement; where that Agreement states that all sales are final and non-refundable, no refund will be issued.
6. Accounts
When you create an account, you guarantee that you are over the age of 18 and that the information you provide is accurate, complete, and current. You are responsible for maintaining the confidentialityof your account and password and for all activity under your account, and you must notify us immediately of any unauthorized use. You may not use a username that belongs to another person or entity, that infringes another’s rights, orthat is offensive. We reserve the right to refuse service, terminate accounts, remove content, or cancel orders in our sole discretion.
7. Copyright and DMCA
We respect intellectual property rights and respond to claims that content on the Service infringes a copyright. Copyrightowners (or their agents) may submit a notice to help@eightdigitmedia.com with the subject line “Copyright Infringement,” including: an electronic or physical signature; a description of the copyrighted work and the URL where it appears; identification of the allegedly infringing material and its location; your address, telephone number, and email; a good-faith-belief statement; and astatement, under penalty of perjury, that the information is accurate and that you are authorized to act. Bad-faith or misrepresented claims may result inliability for damages, including costs and attorneys’ fees.
8. Intellectual Property
The Service and its original content, features,and functionality are and remain the exclusive property of CKR Ventures LLC andits licensors, protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without our prior written consent.
9. Links to Other Websites
The Service may contain links to third-partywebsites or services not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practicesof any third-party sites or services, and we are not liable for any damage or loss caused by your use of them. We advise you to review the terms and privacy policies of any third-party sites you visit.
10. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including a breach of these Terms. All provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Indemnification
You agree to defend, indemnify, and holdharmless CKR Ventures LLC and its licensees, licensors, and their employees, contractors, agents, officers, and directors from any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorneys’fees) arising out of (a) your use of and access to the Service, including byanyone using your account, or (b) a breach of these Terms.
12. Limitation of Liability
In no event shall CKR Ventures LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable forany indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service; any third-party conduct or content on the Service; any content obtained from the Service; or unauthorized access to or alteration of your transmissions or content — whether based on warranty, contract, tort, or anyother legal theory, even if we have been advised of the possibility of suchdamage.
13. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that the Service will be uninterrupted, secure, or available at any particular time or location, that errors will be corrected, that it is free of viruses or other harmful components, or that results of using it will meet your requirements.
14. Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential orincidental damages, so some of the limitations above may not apply to you.
15. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law provisions. Our failure to enforce any right or provision of these Terms is not a waiver of those rights. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between us regarding your use of the Service, and supersede any prior agreements regardingthe Service — but they do not supersede or modify any signed Service Agreement for paid marketing services, which governs that engagement.
16. Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice before the new terms take effect; what constitutes a material change is determined at our sole discretion. By continuing to use the Service after revisions become effective, you agree to bebound by the revised Terms.
